Why international businesses invest in Hong Kong

4 May 2026 · 7 min read

Territorial tax, free capital movement, common law and mainland access: the durable reasons Hong Kong remains the regional holding location.

Hong Kong's advantages are structural rather than promotional. They come from the tax system, the currency and capital regime, the legal system and the geography, none of which depend on an incentive scheme that might lapse.

Territorial taxation

Profits are taxed only where they arise in Hong Kong. There is no tax on worldwide income simply because a company is incorporated here. Corporations pay a lower rate on the first tranche of assessable profits and the standard rate above it, and there is no value added tax, no sales tax and no capital gains tax.

Dividends received are not chargeable, and there is no withholding tax on dividends or interest paid to non-residents. For a holding company, this combination means profits can be received and distributed without an additional layer of Hong Kong tax, which is why so many regional groups sit their holding entity here.

The system is also simple enough that tax planning rarely dictates the operating model. That is underrated: structures built primarily for tax tend to be fragile, and Hong Kong removes much of the temptation.

Free movement of capital

There are no exchange controls. Capital, dividends, royalties and loan repayments move in and out freely, in any currency, without approval. The Hong Kong dollar is pegged to the US dollar within a narrow band under the linked exchange rate system, which removes most currency risk for groups reporting in dollars.

The banking system is deep, with a full range of international and regional banks, and it supports treasury operations (multi-currency accounts, hedging, trade finance and intra-group lending) at a scale most of the region cannot match.

Common law and dispute resolution

Hong Kong operates a common law system with an independent judiciary. Contracts are drafted and enforced on terms international counsel recognise, and company law will feel familiar to anyone who has worked with English or Commonwealth structures.

It is also one of Asia's principal seats for international arbitration, with awards enforceable in mainland China under a specific arrangement, and with interim measures available from mainland courts in support of Hong Kong-seated arbitration. That is a concrete reason cross-border agreements across the region so often name Hong Kong.

Access to mainland China

For many groups this is decisive. A Hong Kong holding company above a mainland WFOE or joint venture gives a clean ownership layer, an established double taxation arrangement with the mainland, and a jurisdiction international investors, lenders and auditors already understand.

The Closer Economic Partnership Arrangement provides preferential access to mainland service sectors for qualifying Hong Kong entities, and the Greater Bay Area initiative continues to reduce friction for companies operating on both sides of the boundary. Practically, Hong Kong also supplies the bilingual finance and legal talent that a mainland operation needs and often cannot recruit locally.

Setting up and staying compliant

Incorporation is quick: a private limited company with one director, one shareholder and a Hong Kong company secretary and registered office. Foreign ownership is unrestricted and there is no minimum capital requirement in practice.

The recurring obligations are known in advance and modest: company secretary and registered office, an annual return, business registration renewal, an annual audit by a Hong Kong CPA, a profits tax return, and employer's returns and MPF where there are staff. Banking is the slowest step and should be started early.

Where it is a poor fit

Hong Kong is not the cheapest place to hold an entity, office and staff costs are high, and the annual audit requirement applies regardless of activity. A dormant special purpose vehicle with no regional nexus may be better placed elsewhere. And an entity with no local substance will find banking difficult and any offshore tax position harder to defend.

We handle the entity, the compliance calendar and the mainland structure beneath it, so a regional group is administered from one place by one team.

2. Common Law Legal System

Hong Kong operates under English common law: the same legal framework familiar to most UAE business owners. Court judgments are enforceable internationally. Contract disputes are handled in a well-resourced, independent judiciary.

3. Simple, Low Taxation

Hong Kong’s corporate profits tax tops out at 16.5%: with the first HK$2 million taxed at just 8.25%. There is no VAT, no capital gains tax, no dividend tax, and no tax on foreign-sourced income. For many UAE businesses that earn profits primarily outside Hong Kong, a legitimate offshore profits tax claim means the effective tax rate can be zero.

5. A Recognised, Credible Jurisdiction

Unlike traditional “tax haven” jurisdictions, Hong Kong is a fully regulated financial centre with its own stock exchange, central bank, and international treaty network. For UAE family businesses looking for somewhere credible to establish an offshore holding structure, Hong Kong carries institutional weight that BVI or Cayman Islands do not.

What UAE Businesses Actually Need in Hong Kong

When a UAE business decides to establish a Hong Kong presence, whether as a holding company, a trading entity, or a full operational headquarters, there are several immediate requirements:

Company Registration

Registering a Hong Kong company for UAE and Middle East natives is fast (3–5 business days in most cases) and relatively simple for non-residents. A private limited company requires at least one director, one shareholder, a company secretary (who must be a HK-resident or a licensed corporate secretary with a TCSP license like Primasia ), and a registered HK address.

Accounting , Audit & Tax Filing

All Hong Kong companies must prepare annual audited accounts and file a profits tax return with the IRD: regardless of whether the company made a profit. The good news: the process is straightforward, and cloud-based accounting platforms like Xero make real-time financial visibility easy across different time zones.

Offshore Profits Tax Claim

Many UAE businesses that incorporate in Hong Kong will find that their profits: earned outside HK through overseas trading, service delivery, or manufacturing: qualify for the offshore profits tax exemption. Filing this claim correctly from year one, supported by solid documentation, is essential.\

Bank Account Opening

Hong Kong bank account opening for foreign-controlled companies takes longer than it used to: expect 1–3 months and rigorous KYC/AML checks from major banks. Alternative options include virtual banks and international fintech platforms. Primasia can advise on the best approach for your specific business type.

Why Hong Kong

As stated above, Hong Kong is one of the largest financial centres in the world. Hong Kong is also considered by many as one of the 10 largest banking centres. Hong Kong offers a dynamic, investor friendly and resilient economy for those that want to invest in Hong Kong. As a multicultural community, Hong Kong has both an internationally informed, educated, and affluent domestic market and an immediate proximity to China which is the world’s second largest economy and one of the fastest growing economies in the world. A defiant and resilient economy, Hong Kong has endured and weathered many potential worldly complications such as both the Asian financial crisis in 1997 and global economic downturn in 2008. Despite these setbacks, Hong Kong remains an ideal international business hub for both foreign and local investment.

Benefits of Investing in Hong Kong

There are other several reasons why Hong Kong remains one of the main choices for investors who wish to expand to the Asia-Pacific area. Here are some benefits below:

Location

Being located near Mainland China, there are many services and methods which offer you and your business easy access to not only one of the biggest markets in the world but also to other markets in the Asia-Pacific region. If you wish to travel to and from Hong Kong to one of China’s business cities such as Beijing, Shanghai or Guangzhou, travel will be organised and facilitated for you as business owners have the convenience of travelling back and forth in a single day if they wish. In addition, due to the long trading history between Hong Kong and Mainland China, not only are Hong Kong companies familiar entities to the mainland authorities, facilitating easier set-up in China, but Hong Kong’s long standing Double Tax Arrangement and CEPA agreement (Closer Economic Partnership Arrangement) with Mainland China mean that businesses and business owners enjoy preferential tax and trading terms with China. Hong Kong therefore offers both a significant marketplace in of itself and could potentially be your focus base which you can use to springboard yourself as a gateway to the Chinese market. It is a known fact that many companies use their initial investment into Hong Kong as part of their marketing strategy when they want to expand their business to China.

Tax Regime.

Hong Kong has a simple tax system with a low taxation regime, compared to other international business hubs in the world such as Beijing, Shanghai, and Tokyo. Hong Kong also encourages pro-business governance with employer-friendly legislation to encourage business to start-up and incorporate in Hong Kong. A two-tier corporate income tax rate applies to companies: 8.25% on the first HKD 2 million assessable profits and 16.5% on the remaining profits (lower rates apply for unincorporated businesses).

Good Modern Infrastructure

Hong Kong is well connected and has developed a stable modern infrastructure to meet the demands of an ever-growing city. Around Hong Kong, there are several industrial or business parks peppered from the central business district in Hong Kong Island to the urban scenery of the New Territories. These business parks come provided with fully complete facilities along with greatly reduced business startup costs. If you wish to learn more about our science and technology parks during the incorporation phase, more information will be available upon request from one of our Primasia company incorporation experts.

With all the business-related benefits combined with the good conditions for living and relocating, this would make Hong Kong a preferred location to move to and open a business in the Asia-Pacific. Many foreign entrepreneurs once they have established a company in Hong Kong sometimes opt to move to the city on a more permanent basis. This is often because the rich mixture of cultures, the cosmopolitan lifestyle and people who make up the uniqueness of this location is more often an attraction both business-related and personal-related.

Geographical Advantage

Hong Kong is only four hours away by plane from most of Asia’s key cities and five hours away from half of the world’s population. It is an hour’s drive (or train ride) from the Pearl River Delta (PRD), also known as the Greater Bay Area (GBA) which is China’s biggest manufacturing area. This is important because the PRD (GBA) accounts for ten percent of China’s GDP and for about 30% of the country’s exports, and thousands of overseas companies trading in China have established corporate entities for investment into or sourcing from the PRD in Hong Kong, due to the ease of setting up and doing business in and via Hong Kong.

Free Economy and Simple Tax System

Amongst others, Hong Kong’s advantages are the main reasons for its meteoric success over many years as an international business city, benefits such as its pro-business governance, rule of law and independent legal system. Hong Kong has one of the world’s freest economies and enjoys unrestricted flow of information, capital, talent, and goods with opulence. The Hong Kong dollar (HKD) is fully convertible and separate from the Chinese Renminbi (RMB). In addition, Hong Kong has the world’s third lowest “tax misery” rating, thanks to low rates and a simple tax system.

Furthermore, Hong Kong now has a significant (and ever growing) network of double taxation arrangements. These double taxation arrangements conform to the latest Organization for Economic Co-operation and Development (OECD) international standard on exchange of information, thereby facilitating proper tax planning in a multiple number of jurisdictions.

Strong Technological and Logistical Support

Hong Kong is also the Financial and Technological and logistics hub, with both sea and air freighters. Hong Kong International Airport was the busiest international passenger airport in Asia Pacific Region and the fourth busiest in the world; Hong Kong also operates the busiest cargo facilities worldwide with like its International airport Hong Kong’s container port is one of the busiest in the world, while Hong Kong’s public transport and telecoms sectors are first rate.
