Chapter 01

Choose the right structure

Most foreign-owned businesses use a private company limited by shares: limited liability, a share register investors recognise, and no residency requirement for shareholders or directors.

Most popular

Private limited company

A separate legal entity that operates independently of the parent company, limiting liability while allowing full trading capacity.

  • No residency requirement for shareholders or directors
  • At least one natural-person director
  • A share register investors recognise
  • Registration in as little as 5 working days once documents are submitted
Test the market

Representative office

Common for companies exploring the Hong Kong market before committing to a full company.

  • Suited to exploring the Hong Kong market
  • Cannot engage in profit-generating activities
Lowest cost

Sole proprietorship or partnership

Cheaper to start, but materially riskier to operate because liability is not limited.

  • Cheaper to start
  • Materially riskier to operate

Chapter 02

From name check to trading company

The filing itself is quick. What takes planning is the sequence around it, and we manage every step.

Every Hong Kong company needs a registered office here and a company secretary who is resident in Hong Kong or a Hong Kong body corporate. A sole director cannot also act as company secretary.

  1. 1

    Check the company name

Every company needs a unique name. We search the Companies Registry index through the Cyber Search Centre of the Integrated Companies Registry Information System (ICRIS), so your name is neither identical to an existing company nor misleading, and complies with the Companies Ordinance before you file.

  2. 2

    Prepare the incorporation documents

We prepare the articles of association, the incorporation form and supporting documents, including your business plan and the proofs required for review, so every legal requirement is met first time.

  3. 3

Appoint officers and a registered office

Appoint at least one individual director and a Hong Kong-based company secretary, and confirm a registered office in Hong Kong. Every package also includes a Designated Representative, who keeps and provides access to your Significant Controllers Register.

  4. 4

    File and receive your certificates

Electronic incorporation is typically filed within one business day, and the business registration certificate is issued alongside the certificate of incorporation. End to end, registration can take as little as 5 working days once all documents are submitted.

  5. 5

    Open the business bank account

Bank onboarding, not incorporation, usually sets your launch date. We prepare the file and introduce you to suitable banks (see below).

  6. 6

Set up premises and start trading

Set up a physical office if you need one and commence operations, focusing on executing your business plan and core activities.

Chapter 03

The bank account sets your launch date

Hong Kong banks apply full know-your-client and anti-money-laundering review, and applications fail on thin substance far more often than on paperwork. We prepare the file, brief you for the account-opening interview and introduce you to Hong Kong and international banks. Where a traditional bank is not the right fit, we set out licensed payment-institution alternatives honestly rather than promising an outcome we cannot control.

Deposit and processing fees differ between banks, so check each bank's criteria before you decide.

What the bank will ask for

  • 01Identification and proof of address for every director, shareholder and beneficial owner
  • 02The full ownership chain up to the ultimate individuals
  • 03A description of the business, with expected volumes and counterparties
  • 04Evidence of real activity: contracts, suppliers, customers, invoices, projections or a lease

Chapter 04

Your first-year compliance calendar

From day one the annual cycle applies. We run the full calendar under one engagement and prompt you before each deadline, not after it.

Day 0

Incorporation

Certificate of incorporation and business registration certificate issued. Appoint the auditor and adopt an accounting year end.

Ongoing

Statutory registers

Registers of directors, members, secretaries and significant controllers kept at the registered office, with changes filed within statutory windows.

Anniversary + 42 days

Annual return (NAR1)

Filed with the Companies Registry. Late filing attracts escalating, entirely avoidable fees.

Every year

Business registration renewal

Renew the certificate annually, alongside the employer's return if you have hired.

Around month 18

First profits tax return

Due with audited financial statements behind it, so books must be kept from day one and retained for seven years.
