What a Hong Kong offshore company actually is
Hong Kong has no separate offshore entity type. An offshore company here is a private limited company incorporated under the Companies Ordinance whose trading and management take place outside the territory. Under the territorial system, profits tax applies to Hong Kong-sourced profits at 16.5%, and foreign-sourced income can be exempt where the position is claimed and evidenced properly.
That combination (a well-regulated common law jurisdiction, no capital gains or withholding tax, no VAT, and a low headline rate) is why Hong Kong is Asia's largest hub for offshore incorporation, particularly for international trading, holding companies and IP licensing.
Anyone over 18 can incorporate, regardless of nationality or residence. The company needs at least one director and one shareholder, which may be the same person, a Hong Kong company secretary, a business registration certificate and a registered office in the territory.
